Rådets vedtekter fastslår:
Norsk matematikkråd er et frittstående, rådgivende organ. Norsk matematikkråd (NMR) sitt ansvarsområde er matematikk, herunder statistikk og mekanikk, og matematikkdidaktikk.
NMR skal gi råd i saker etter anmodning fra departementer, Norges forskningsråd, Universitets- og høgskolerådet, Det nasjonale fakultetsmøte i realfag og fra de deltakende institusjoner. Rådet kan også på eget initiativ eller etter anmodning fra andre faglige organer ta opp saker innenfor sitt virkeområde.

Norsk matematikkråd ble stiftet allerede i 1972. Det var blant annet NMRs suksess som inspirerte opprettelsen av de nasjonale fagråd under Universitets- og høgskolerådet (UHR). Ettersom UHRs standardreglement for nasjonale fagråd ikke helt passer NMRs situasjon, er Det nasjonale fagråd for matematikk definert i vedtektene som en del av Norsk matematikkråd.
NMR holder årlige møter, for tiden sent i september. Der er universitetene representert ved fra to til fire representanter hver, og de fleste høgskolene med en representant hver. I tillegg deltar representanter for studentorganisasjonene, fagforeninger og enkelte andre organisasjoner med spesiell interesse for matematikk. Et styre og to utvalg, ett for forskning og ett for undervisning, tar seg av rådets oppgaver mellom årsmøtene.

The Norwegian Mathematics Council is an independent, advisory body. The Norwegian Mathematics Council (NMR) has a domain of interest that include mathematics, statistics and mechanics, and mathematics education.
NMR provides advice on matters upon request from ministries, the Research Council of Norway, the Norwegian Association of Higher Education Institutions, the National Faculty Meeting in Science, and participating institutions. The council can also, on its own initiative or upon request from other professional bodies, address issues within its area of expertise.

The Norwegian Mathematics Council was established in 1972. Among other things, NMR's success inspired the creation of national subject councils under the Norwegian Association of Higher Education Institutions (UHR). Since UHR's standard regulations for national subject councils do not entirely fit NMR's situation, the National Subject Council for Mathematics is defined in the statutes as part of the Norwegian Mathematics Council.
NMR holds annual meetings, currently in late September. Universities are represented by two to four representatives each, and most colleges by one representative each. Additionally, representatives from student organizations, unions, and some other organizations with a special interest in mathematics participate. A board and two committees, one for research and one for education, handle the council's tasks between annual meetings.
